These Terms and Conditions (“Terms”) govern your use of mycsonline.in (the “Website”) and the compliance consultancy and related services provided by MyCSOnline (“Consultancy”, “we”, “our”, “us”). By accessing the Website or engaging our Services, you agree to be bound by these Terms.
1) Definitions

- Services: Consulting/advisory on company law, ROC filings, GST, taxation, and related areas; trainings, assessments, templates, and other deliverables.
- User/You: Any visitor using the Website; Client: any person/entity that formally engages us under a written engagement letter or proposal.
2) Acceptance & Eligibility
By using the Website or Services, you confirm you are legally capable of forming a binding contract and, if acting for an entity, you are authorized to bind that entity.
3) Scope of Services
a) We provide compliance consulting tailored to Client needs, including (without limitation) compliance assessments, policy drafting, due-diligence support, risk management, trainings, and regulatory guidance.
b) Any advisory or deliverable is jurisdiction-specific and based on information provided by you at the time.
4) Client Engagement & Contracts
a) You may engage us via our contact forms, email, or direct communication.
b) An engagement becomes effective only when we issue/accept a written proposal or engagement letter stating scope, deliverables, timelines, fees, and specific terms. If there is any conflict, the engagement letter prevails over these Terms.
5) Compliance Assessments
a) We may conduct interviews, review documents, collect limited data, and analyze applicable frameworks.
b) Our recommendations depend on the accuracy and completeness of information provided by you.
6) Deliverables & License
a) We provide written deliverables (e.g., reports, policies, training materials).
b) Unless otherwise agreed in writing, all intellectual property in our deliverables remains ours. We grant you a non-exclusive, non-transferable license to use them internally for your legitimate business purposes. You may not resell, sublicense, or publicly distribute our materials without prior written consent.
7) Website Content; Educational Nature
a) Website articles, checklists, calculators, templates, and videos are for general information and education and are not legal advice for your specific facts.
b) You should seek a qualified professional for fact-specific advice.
8) Client Responsibilities
a) Provide accurate, complete, and timely information, documents, and access.
b) Nominate a single point of contact for efficient coordination.
c) Review drafts promptly and provide feedback/approvals within agreed timelines.
9) Fees, Taxes & Payments
a) Fees and payment schedules are specified in the engagement letter/proposal.
b) Unless stated otherwise, fees are exclusive of taxes; you are responsible for applicable GST or other taxes.
c) Out-of-pocket expenses (e.g., statutory fees, filings, travel pre-approved by you) are billable.
d) Refunds: Professional time already spent, statutory payments made, and third-party costs are non-refundable. Any discretionary refunds (if granted) will exclude such amounts.
10) Confidentiality & Data Protection
a) We maintain the confidentiality of client information except as required by law or with your consent.
b) Personal data is handled per our Privacy Policy available on the Website.
11) Third-Party Tools & Links
The Website may include links, embeds, or tools from third parties (e.g., analytics, payment processors, YouTube). Their policies apply to their services. We are not responsible for third-party content or practices.
12) Prohibited Use (Website)
You agree not to:
- interfere with site security or attempt unauthorized access;
- scrape, copy at scale, or reverse-engineer site functionality;
- upload harmful code; or
- use the Website in violation of law or these Terms.

You agree to indemnify and hold harmless MyCSOnline, its owners, employees, and affiliates from claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (i) your use of the Website/Services; (ii) your breach of these Terms or applicable law; or (iii) content or data you provide.
16) Non-Solicitation
During the engagement and for 24 months thereafter (to the extent permitted by law), you will not directly or indirectly solicit for employment or hire our employees or contractors who were materially involved in your project, without our prior written consent.
17) Compliance with Laws
You are responsible for complying with all applicable laws, regulations, and industry standards relevant to your operations. Our guidance reflects our understanding at the time and is not a substitute for formal legal opinions.
18) Termination
a) Either party may terminate an engagement by written notice.
b) Upon termination, you must pay fees due for work performed and cease using deliverables not fully paid for (unless otherwise licensed).
19) Dispute Resolution; Governing Law
a) The parties shall first attempt to resolve disputes through good-faith discussion within 15 days of written notice.
b) Failing resolution, the matter shall be subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal, India, and governed by the laws of India. (Nothing prevents either party from seeking urgent injunctive relief.)

21) Changes to the Terms
We may update these Terms at any time by posting the revised version on the Website. Continued use after changes constitutes acceptance of the updated Terms.
22) Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign to an affiliate or successor as part of reorganization, merger, or sale.
23) Independent Contractors
We act as independent contractors. Nothing creates a partnership, joint venture, or agency unless expressly agreed in writing.
24) Entire Agreement; Severability; Waiver; Headings
These Terms together with any engagement letter constitute the entire agreement regarding the Website/Services. If any provision is found invalid, the remainder remains enforceable. Failure to enforce a provision is not a waiver. Headings are for convenience only.
25) Survival
Provisions that by nature should survive (e.g., confidentiality, IP, fees, limitation of liability, indemnity, non-solicitation, governing law) will survive termination.
26) Testimonials & Feedback
You may provide feedback or testimonials. Unless you object in writing, you grant us permission to use non-confidential feedback/testimonials for marketing, provided we do not disclose your confidential information.
27) Force Majeure
We are not liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, war, government action, failures of networks, or utility outages.
